LangBot Cloud Terms of Service

Welcome to LangBot Cloud. Please read these Terms of Service ("Terms") carefully before using our services.

1. Service Overview

LangBot Cloud (the "Service") is provided by the LangBot team ("we", "us", or "our"). It is a managed instant messaging bot platform that allows users to deploy and operate chatbot instances. By accessing or using the Service, you agree to be bound by these Terms.

2. Service Availability

We strive to provide a stable and reliable service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, upgrades, force majeure, or other reasons. We will make reasonable efforts to provide advance notice of planned maintenance windows.

3. Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • We shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or other intangible losses, arising from or related to your use of or inability to use the Service.
  • The above limitations apply whether or not we have been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, strict liability, or otherwise).
  • In no event shall our total aggregate liability to you for all claims arising from or related to the Service exceed the greater of:
    • (a) The total amount you actually paid to us in the 12 months preceding the event giving rise to the claim, or
    • (b) USD $15 (or equivalent in local currency).

5. User Responsibilities

  • You are solely responsible for all content and messages sent through the Service, including messages sent by bots you configure and operate.
  • You must comply with all applicable laws and regulations, including but not limited to data protection, privacy, consumer protection, and anti-spam laws.
  • You are responsible for maintaining the security of your account credentials and API keys.
  • You are responsible for backing up your important data. We are not liable for data loss for any reason, including but not limited to service interruptions, account termination, or system failures.
  • You shall not use the Service for illegal activities, spam, harassment, or infringing on the rights of others.
  • You shall not attempt to disrupt, overload, or impair the Service or its infrastructure.

6. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from force majeure events, including but not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, etc.)
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Cyberattacks (DDoS, ransomware, etc.)
  • Third-party service failures (cloud providers, messaging platforms, AI model providers, etc.)
  • Power outages or internet connectivity disruptions
  • Pandemics or public health emergencies

7. Third-Party Services

The Service may rely on or integrate with third-party services, including but not limited to:

  • Messaging platforms (Telegram, Discord, WeChat, QQ, Slack, etc.)
  • AI model providers (OpenAI, Anthropic, Google, etc.)
  • Cloud infrastructure providers

We are not responsible for the availability, accuracy, reliability, or security of third-party services. Use of third-party services is subject to their respective terms and conditions. Changes to third-party services may affect the functionality of our Service without prior notice.

8. Service Modifications and Termination

  • We reserve the right to modify, suspend, or terminate the Service (or any part thereof) at any time, with or without notice.
  • We reserve the right to modify these Terms at any time. We will make reasonable efforts to notify you of material changes. Continued use of the Service after modifications constitutes acceptance of the revised Terms.
  • We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.
  • Upon termination, your right to use the Service ceases immediately. We are not obligated to retain your data after termination.

9. Indemnification

You agree to indemnify, defend, and hold harmless the LangBot team and its affiliates, officers, agents, and employees from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Content transmitted through the Service by you or your configured bots

10. Intellectual Property

  • The Service, including its design, code, documentation, and branding, is owned by us and protected by intellectual property laws.
  • Your use of the Service does not grant you any ownership rights in the Service.
  • You retain ownership of content you create and transmit through the Service.

11. Dispute Resolution

Any disputes arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails within 30 days, either party may bring the dispute before a court of competent jurisdiction in the location of our principal place of business.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we are primarily located, without regard to conflict of law principles.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
